Directors can trigger PAYG withholding, superannuation and payroll-tax liabilities. Calling the payment a distribution does not decide what it really is.
A business owner may be shareholder, director, employee, contractor and lender before breakfast. Tax law can recognise more than one capacity, but it expects each payment to have one. The ledger label does not get the casting vote.
Directors can be within withholding and super rules
PAYG withholding obligations can apply to payments to directors and office holders. A director may also be an employee for superannuation guarantee purposes. State payroll-tax rules have their own definitions and contractor provisions. A failure to withhold or pay super can produce penalties, interest, lost deductions and director-penalty exposure.
Can distributions avoid employment liabilities?
A genuine dividend or trust distribution arising from ownership is not automatically salary. But a business cannot safely relabel remuneration for services as a distribution merely to avoid PAYG, SG or payroll tax. Company law requirements, distributable profits, franking, PSI, Division 7A, employment arrangements and anti-avoidance rules all matter.
Separate return on labour from return on capital
Document the director’s duties, employment terms, salary or fees, shareholder rights, dividends and loan accounts. Consider what an arm’s-length business would pay for the work and what commercial return belongs to the capital invested and risk assumed. The analysis is factual, not a choice between two accounting codes.
Audit the whole payment stream
Reconcile payroll, bank payments, director loan accounts, distributions, benefits and expense reimbursements. Check federal tax, super and the payroll-tax law of each relevant State or Territory. Correcting a classification before an audit is generally less theatrical than explaining it afterwards.
